Overview
With more than 30 years of experience, Dana concentrates on general corporate and securities matters. Her general corporate experience includes assisting with all aspects of formation, maintenance, and dissolution of all entity types.
Dana prepares routine and transaction specific resolutions, conversion and merger documents for simple to complex multi-state, multi-entity mergers, and assists with the maintenance of a corporate database of several thousand entities and related corporate minute books. She regularly assists the real estate group with corporate aspects of acquisitions and dispositions of real estate portfolios. Over the course of her career, she has encountered difficult filings and enjoys finding creative solutions in compliance with state filing requirements.
Dana also assists with due diligence reviews and transaction closings of both public and private companies. She has extensive experience in the preparation, searching, and filing of financing statements under Revised Article 9 of the Uniform Commercial Code. Dana assists BFKN’s attorneys with blue sky research, the filing of Form Ds at both the state and federal level and the preparation and filing of required periodic reports with the Securities and Exchange Commission. Dana received her Bachelor of Arts degree in Economics from the University of Chicago.
