We have extensive experience in real estate development, and construction matters in a broad range of projects, including industrial, office, retail, mixed use, hotel, and other specialty commercial uses throughout North America. We represent investors and owners, such as publicly traded REITs, nationally recognized luxury goods companies and private funds, as well as developers, contractors and design professionals in documenting and negotiating complex real estate transactions, including for ground-up and multi-phased development projects, build-to suit projects, land assemblages, rail-served industrial projects, redevelopment of high-end retail properties, among others. We also have created template documents for design, construction, and development services on behalf of national companies for multi-state projects.
Joint venture work comprises one of our core real estate practice areas. We have significant experience representing both institutional investors and sponsors in a wide range of project types. Our services span the life cycle of a joint venture, and are heavily focused on the formation of the company, fund, partnership or other applicable investment vehicle. Much of our joint venture work relates to projects involving ground-up development. We also have substantial experience in the establishment of programmatic joint venture platforms. Our JV work also includes the establishment of co-investment programs on behalf of publicly traded REITs and their operating partnerships.
Our attorneys have in-depth experience representing landlords and tenants of both single- and multi-tenant properties across asset types, including industrial, office, retail, healthcare, and mixed-use properties. We handle leasing matters on a national basis for a number of high-end luxury retail tenants, as well as several household name tech industry clients as commercial tenants, in a variety of leasing transactions, including build-to-suit leases, ground leases, and leases for flagship retail properties.
Our Real Estate Group applies its in-depth experience in restructuring and workout of troubled loans or investments to advise financial institutions, private equity funds, and other lenders. Our experience includes the restructuring or enforcement of mortgages and construction and mezzanine loans, as well as portfolio loans and syndicated secured credit facilities. We also have extensive experience in representing investors and private equity funds in the acquisition of distressed loan portfolios and similar investments. Working in close coordination with our litigation, bankruptcy, and corporate practices, our real estate attorneys provide comprehensive advice in addressing distressed credit matters, including negotiation and documentation of receivership orders, deed-in-lieu of foreclosure arrangements and consent foreclosures.
Our attorneys provide a full range of legal services for real estate finance transactions, including the structuring, negotiation, and documentation, on behalf of lenders and borrowers, of loans with banks, real estate investment funds, debt funds, securitized or CMBS loans and SASB loans. These finance transactions include construction loans for ground up and redevelopment projects, “value-add” financing, and acquisition and bridge financings. Our representation of lenders and borrowers involves various sectors, including industrial, hospitality, multifamily, retail, mixed use, home building, office, healthcare, and data centers. We have successfully handled transactions involving real estate secured loans and commercial mortgage-backed securities, structured financing, syndicated credit facilities, subordinate and mezzanine debt, lot option banking facilities, letters of credit, and bond financing (including industrial development, housing, and IDFA bonds).
